Affiliate Partner Terms & Conditions

Please read these terms carefully before participating in the SmarterNutHub Affiliate Partner Program. By applying for or participating in the program, you confirm that you have read, understood, and agree to be bound by these terms in full. If you do not agree, do not participate in the program.

1 The Parties & Relationship

These Terms constitute an agreement between SmarterNutHub (operated by Smarternuthub.com, Queensland, Australia — "we", "us", "our") and you, the Affiliate ("you", "your").

You are an independent contractor. Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between us. You have no authority to enter into agreements on our behalf, and you must not represent yourself as an employee, agent, or co-owner of SmarterNutHub in any way.

You have no ownership interest, equity, stake, or claim in SmarterNutHub, its products, intellectual property, revenue, or business assets of any kind, now or in the future. Earning commissions through this program confers no rights to the business beyond the payment of those commissions.

2 Eligibility

To participate in the program you must:

Be at least 18 years of age
Have a valid platform, audience, or channel through which you promote our products
Receive written approval from us prior to promoting any SmarterNutHub products
Comply with all applicable laws in your jurisdiction, including those relating to advertising, endorsements, and privacy

We reserve the right to refuse or revoke participation to any applicant or affiliate at our sole discretion, at any time, with or without cause.

3 Commission Structure

Upon approval, you will receive a unique affiliate tracking link. Commissions are only earned through verified sales made via your unique link and are calculated as follows:

Monthly Membership: 20% recurring commission on each monthly membership payment made by a referred member, for as long as that member remains actively subscribed and paying
Other Products: 10% one-time commission on any other SmarterNutHub products purchased by a referred customer

Commission rates are set by us and may be changed at any time with reasonable notice to active affiliates. Changes will not apply retroactively to already-confirmed commissions.

4 Tracking & Cookie Policy

Affiliate sales are tracked via a cookie attached to your unique link. The cookie window is 12 months from the date of the referred person's last click on your affiliate link. Sales made after the cookie has expired will not be attributed to you.

This program operates on a last-click basis — if a referred person clicks another affiliate's link before purchasing, that affiliate will receive the commission instead.

We take reasonable steps to ensure accurate tracking, but we are not liable for tracking failures caused by a referred person's browser settings, ad blockers, private browsing mode, or any other technical factors outside our control.

5 Payment Terms

Commissions are paid on the 15th of each calendar month, subject to the following conditions:

Only commissions that have been held for a minimum of 30 days from the date of the underlying sale will be included in a payment run
You must have provided accurate payment details in your affiliate account
Minimum payment thresholds may apply as advised in your affiliate dashboard

Important — No Payment Without Receipt of Funds: Commissions are only payable to you if and when we have successfully received and cleared the corresponding payment from the referred customer. If a customer's payment fails, is charged back, reversed, or refunded for any reason, any commission associated with that transaction will be voided and will not be paid. If a commission has already been paid to you in relation to a subsequently refunded or reversed transaction, we reserve the right to deduct that amount from future commission payments.

If a referred member cancels their subscription, downgrades, or stops paying for any reason, recurring commissions will cease from that point forward. No compensation is payable for lost future commissions due to cancellations.

6 Prohibited Conduct

As an affiliate you must NOT:

Run paid advertising using our brand name, business name ("SmarterNutHub"), product names, or any variation or misspelling of these as keywords, display text, or ad copy on any platform including but not limited to Google Ads, Meta Ads, TikTok Ads, Pinterest Ads, or YouTube Ads
Register any domain name, social media handle, or online account that includes our brand or business name or any confusingly similar variation
Make false, misleading, or exaggerated claims about our products or their results
Spam any person via email, social media, messaging apps, or any other channel
Offer cash, rebates, or any other unauthorised incentive to encourage people to purchase through your link
Promote our products on any platform or in any context that is illegal, adult, hateful, or discriminatory
Attempt to refer yourself or use your own affiliate link to purchase our products
Use cookie stuffing, forced clicks, or any other fraudulent or deceptive tracking method
Disclose confidential information about our business, pricing, internal operations, or affiliate program terms to any unauthorised third party

Breach of these prohibited conduct rules may result in immediate termination of your affiliate account and forfeiture of all unpaid commissions.

7 Disclosure Requirements

You must clearly and conspicuously disclose your affiliate relationship with SmarterNutHub whenever you promote our products. This disclosure must be placed where it is easily noticed — not buried in small print or hidden from view. This is a legal requirement in many jurisdictions, including under the Australian Consumer Law and the United States FTC guidelines.

Acceptable disclosures include statements such as: "This post contains affiliate links. I may earn a commission if you purchase through my link, at no extra cost to you."

8 Representations & Brand Standards

You agree that all promotional content you create in connection with SmarterNutHub will be:

Accurate, truthful, and not misleading
Compliant with all applicable advertising standards and laws in your jurisdiction
Consistent with the professional reputation and brand image of SmarterNutHub

We reserve the right to request the removal or amendment of any affiliate content that we consider inaccurate, misleading, off-brand, or potentially harmful to our business or customers. You must comply with such a request promptly.

9 Defamation & Reputation

Zero tolerance: You must not make any statement — whether publicly or privately, verbally or in writing, online or offline — that is false, defamatory, misleading, or damaging to the reputation of SmarterNutHub, its owner, team members, products, or customers. This obligation applies during and after the term of this agreement.

Any breach of this clause may result in legal action being taken against you, including claims for damages. We take the protection of our reputation and our community extremely seriously and will not hesitate to enforce our rights under applicable law.

10 Intellectual Property

We may provide you with approved marketing materials, images, copy, and other content for the purpose of promoting our products. These materials remain our intellectual property at all times. You are granted a limited, non-exclusive, non-transferable licence to use approved materials solely for the purpose of promoting SmarterNutHub products under these Terms. You must not alter, repurpose, or use our intellectual property outside of this scope without our express written consent.

11 Termination

Either party may terminate this agreement at any time, with or without cause, by providing written notice (including by email).

We reserve the right to terminate your participation immediately and without notice if we determine, in our sole discretion, that you have:

Breached any provision of these Terms
Engaged in fraudulent, deceptive, or unethical conduct
Caused or attempted to cause harm to SmarterNutHub, its customers, or its reputation
Violated any applicable law or regulation

Upon termination: your affiliate link will be deactivated, you will no longer earn commissions, and any commissions already confirmed and due under these Terms will be paid in the normal payment cycle. Commissions not yet confirmed (within the 30-day hold period) at the time of termination will be assessed at our discretion and may be forfeited if termination was due to breach.

12 Limitation of Liability

To the maximum extent permitted by law, SmarterNutHub's total liability to you under or in connection with this agreement shall not exceed the total commissions paid to you in the three months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special losses, including loss of expected commissions, loss of income, or loss of opportunity.

13 Amendments

We may update these Terms from time to time. We will notify active affiliates of material changes by email. Continued participation in the program after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must notify us and cease participation.

14 Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

15 Entire Agreement

These Terms constitute the entire agreement between you and SmarterNutHub in relation to the affiliate program and supersede all prior discussions, representations, or agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
