REFUND, CANCELLATION & COMMITMENT POLICY

SmarterNutHub — Effective Date: 30 November 2025

IMPORTANT: Please read this Policy in full before purchasing. By completing any purchase, you confirm you have read, understood, and agree to be bound by these terms.

SECTION 1 — ALL SALES ARE FINAL: ZERO REFUND POLICY

1.1 No Refunds Under Any Circumstances

SmarterNutHub operates exclusively in digital products and services, including but not limited to online memberships, subscription coaching programs, video content, PDF guides, eBooks, meal planners, macro calculators, and any other digital or educational material (collectively, "Digital Products"). Due to the irrevocable nature of digital access — which cannot be returned, un-downloaded, or un-accessed — ALL SALES ARE FINAL. No refunds, credits, exchanges, or pro-rata adjustments will be issued under any circumstances, including but not limited to:

• Change of mind after purchase

• Dissatisfaction with results, coaching style, or content format

• Failure to use, access, or engage with the Digital Product after purchase

• A change in personal circumstances after purchase (e.g., illness, financial hardship, relocation)

• Inability to access content due to your own internet, device, or technical limitations

• Any other reason not expressly required by applicable law

1.2 Immediate Delivery and Full Performance

By completing any purchase, you expressly acknowledge and agree that: (a) SmarterNutHub grants access to Digital Products immediately upon receipt of payment; (b) delivery is complete and fully performed at the moment access is granted; and (c) SmarterNutHub has fulfilled its entire contractual obligation upon providing such access. You irrevocably waive any right to withdraw from or rescind the transaction on the basis of change of mind.

1.3 Scope — All Products, Present and Future

This zero-refund policy applies universally to every product and service offered by SmarterNutHub, whether currently available or released at any future date, including but not limited to:

• Monthly and annual membership subscriptions (all tiers)

• One-time digital purchases (eBooks, guides, meal plans, templates, calculators, printables, and any similar item)

• Coaching programs, roadmaps, and structured courses

• Bonus resources, upgrades, upsells, and add-ons

• Any bundle, package, promotional offer, or limited-time product

No separate or additional guarantee, warranty, or refund right attaches to any product unless set out in a specific written instrument signed by an authorised officer of SmarterNutHub and provided to you as a standalone document.

SECTION 2 — AUSTRALIAN CONSUMER LAW (ACL) NOTICE

2.1 Statutory Guarantees

Nothing in this Policy limits, excludes, or modifies any guarantee, condition, warranty, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) ("ACL") or any other applicable legislation. To the maximum extent permitted by law, all implied conditions, warranties, and guarantees are expressly excluded.

2.2 "Major Failure" — Narrowly Defined

Under the ACL, a consumer may be entitled to a remedy only where there is a "major failure" of a service. You expressly acknowledge and agree that none of the following circumstances, individually or in combination, constitute a major failure under the ACL:

(a) Dissatisfaction with the coaching style, tone, presentation, or personality of the facilitator

(b) Failure to achieve any specific weight loss, health, metabolic, or body composition outcome

(c) A determination after purchase that the program does not suit your lifestyle, schedule, dietary preferences, or personal goals

(d) Failure to use, open, or engage with the Digital Product for any period after purchase

(e) Underlying medical, physical, or psychological conditions that affect your ability to participate in or benefit from the program

(f) Inability to attend live sessions (replays are always provided)

(g) Any circumstance within your own control that affects your experience or results

2.3 Reporting a Genuine Failure

If you believe in good faith that you have experienced a genuine major failure as defined under the ACL, you must notify SmarterNutHub in writing at hello@smarternuthub.com within fourteen (14) days of the alleged failure occurring. SmarterNutHub reserves the sole right to investigate the matter, request supporting evidence, and determine in its reasonable discretion whether a statutory remedy is warranted before providing any resolution. Late notifications may not be considered.

SECTION 3 — 12-MONTH COMMITMENT MEMBERSHIP ($29.00 USD/MONTH)

BINDING FINANCIAL COMMITMENT — READ CAREFULLY

The $29.00/month plan is a fixed-term contract. By selecting this plan, you enter into a legally binding 12-month financial obligation. This is not a month-to-month subscription. You are committing to 12 consecutive monthly payments totalling $348.00 USD.

3.1 Nature of the Commitment

The $29.00 per month membership ("Annual Commitment Plan") is offered at a discounted rate in consideration of your binding commitment to maintain an active subscription for a minimum of twelve (12) consecutive calendar months ("Commitment Period"). By selecting the Annual Commitment Plan, you enter into a fixed-term service agreement governed by these terms. The discounted rate of $29.00/month (compared to the standard $34.95/month) constitutes the sole and complete consideration for your acceptance of the Commitment Period. SmarterNutHub would not offer this discounted rate in the absence of the 12-month obligation.

3.2 Billing Authorisation During the Commitment Period

By selecting the Annual Commitment Plan, you irrevocably authorise SmarterNutHub and/or its nominated payment processor to charge the sum of USD $29.00 to your nominated payment method on the same calendar date each month for the full duration of the Commitment Period — totalling twelve (12) charges amounting to USD $348.00. This authorisation cannot be revoked during the Commitment Period.

3.3 No Early Cancellation

You may not cancel, suspend, pause, or otherwise terminate the Annual Commitment Plan before the conclusion of the Commitment Period. Attempting to do so — including but not limited to cancelling your payment method, reversing a transaction, or initiating a chargeback — does not relieve you of your financial obligations. If you attempt to exit early:

(a) You remain legally liable for all monthly payments due through the end of the 12-month Commitment Period, regardless of whether you access or use the membership

(b) SmarterNutHub reserves the right to immediately suspend or terminate your access to all membership content upon any missed, reversed, or disputed payment

(c) SmarterNutHub reserves the right to refer any outstanding balance to a third-party debt recovery agency and/or commence civil proceedings to recover the outstanding amount together with all associated costs, interest, and legal fees

(d) Any chargeback initiated during the Commitment Period will be treated as a material breach of this Agreement and as potential fraudulent conduct (see Section 5)

3.4 Post-Commitment Auto-Renewal

Upon expiry of the 12-month Commitment Period, your membership will automatically convert to a month-to-month subscription at the then-current standard monthly rate, unless you provide written notice of cancellation to SmarterNutHub at least seven (7) days prior to the next scheduled billing date. No refund will be provided for any billing period already paid at the time of cancellation.

3.5 Acknowledgement of Commitment

By completing your purchase of the Annual Commitment Plan, you confirm, represent, and warrant that you: (a) have read and fully understood the nature and duration of the Commitment Period; (b) have voluntarily selected this plan in exchange for the discounted monthly rate; (c) acknowledge that SmarterNutHub would not provide access at the discounted rate without this binding obligation; and (d) accept full financial responsibility for all 12 monthly payments.

SECTION 4 — CANCELLATION POLICY (MONTH-TO-MONTH MEMBERSHIPS)

4.1 Cancellation Rights

If you hold a standard month-to-month membership ($34.95/month), you may cancel at any time through your account settings or by written notice to SmarterNutHub. Cancellation takes effect at the conclusion of the current billing period in which the cancellation is submitted. No pro-rata, partial, or proportional refunds are provided for any unused days remaining within a paid billing period.

4.2 Access Following Cancellation

Following cancellation, you will retain access to all membership content until the end of your final paid billing period, at which point access will cease permanently. SmarterNutHub is not obligated to retain, preserve, export, or provide access to your account data, activity history, or content after termination.

SECTION 5 — CHARGEBACK AND PAYMENT DISPUTE POLICY

5.1 Zero Tolerance for Fraudulent Chargebacks

SmarterNutHub enforces a strict Zero Tolerance Policy for fraudulent or bad-faith chargebacks, commonly referred to as "friendly fraud." A chargeback is fraudulent where it is initiated by a person who: (a) knowingly received access to Digital Products; and (b) has no valid legal or contractual basis for disputing the charge.

5.2 Evidence SmarterNutHub Will Provide

In response to any chargeback, payment dispute, or formal complaint, SmarterNutHub will provide the following evidence to the relevant payment processor, financial institution, bank, and/or competent authority:

• IP address, device fingerprint, and geolocation data recorded at the time of purchase and login

• Timestamped login records, content access logs, and platform interaction data

• The full text of this Agreement, including the date, time, and method by which you accepted these terms

• All email communications, including purchase confirmations and welcome messages sent to your registered address

• For Annual Commitment Plan members: specific records of your acceptance of the 12-month financial obligation

5.3 Consequences of a Fraudulent Chargeback

Where a chargeback is found to have been initiated without valid legal basis, SmarterNutHub reserves the right, without limitation, to:

(a) Permanently and immediately terminate your access to all SmarterNutHub products and services, with no right of reinstatement

(b) Report the conduct to relevant credit reporting bodies, fraud prevention registries, and consumer protection agencies

(c) Pursue civil recovery of the disputed amount, all chargeback fees imposed on SmarterNutHub by payment processors, administrative costs, and all legal fees associated with the dispute

(d) Share documented evidence of the fraudulent conduct with other digital content operators for the purposes of fraud prevention and protection of legitimate businesses

SECTION 6 — THIRD-PARTY & AFFILIATE PRODUCTS

6.1 No Liability for Third-Party Transactions

SmarterNutHub is not a party to, and accepts no responsibility for, any transaction you enter into with any third-party vendor — including but not limited to supplement companies, equipment retailers, app providers, or any product or service recommended or linked to within SmarterNutHub content. SmarterNutHub does not process, hold, manage, or control any payments made to third parties, and accepts no responsibility for the quality, delivery, safety, efficacy, or refund obligations of any third-party product or service.

6.2 Irrevocable Release

You irrevocably and unconditionally release SmarterNutHub, its directors, employees, contractors, partners, and agents from any and all claims, demands, actions, losses, damages, costs, or liabilities of any nature arising from or in any way connected to third-party products or services. All disputes regarding third-party products must be directed exclusively to the relevant vendor.

SECTION 7 — EXTERNAL LINKS DISCLAIMER

7.1 No Endorsement

Links to external websites, research publications, applications, or other resources provided within SmarterNutHub content are provided for convenience and informational purposes only. SmarterNutHub does not investigate, monitor, endorse, warrant, represent, or accept any responsibility for the accuracy, legality, safety, privacy practices, or content of any external website or resource.

7.2 Assumption of Risk

Access to any external link from SmarterNutHub content is entirely at your own risk. SmarterNutHub accepts no liability whatsoever for any loss, damage, data breach, malware infection, financial harm, or other consequence arising from or related to your access to any third-party website or digital resource.

SECTION 8 — GENERAL PROVISIONS

8.1 Governing Law & Jurisdiction

This Policy and any dispute, claim, or controversy arising under or in connection with it shall be governed by and construed in accordance with the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia for the resolution of any such dispute.

8.2 Entire Agreement

This Policy, together with SmarterNutHub's Terms & Conditions and Privacy Policy (as updated from time to time), constitutes the entire agreement between you and SmarterNutHub with respect to refunds, cancellations, and financial commitments. No verbal representation, marketing material, social media post, email, or informal communication creates any additional obligation or right not expressly set out herein.

8.3 Severability

If any provision of this Policy is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable, and the validity and enforceability of all remaining provisions shall not be affected.

8.4 Amendments

SmarterNutHub reserves the right to amend, update, or replace this Policy at any time by publishing a revised version on its website. The version of this Policy in effect at the date of your purchase governs that specific transaction. Continued use of the membership or services following notice of any amendment constitutes your acceptance of the revised terms.

8.5 No Waiver

SmarterNutHub's failure to enforce any provision of this Policy on any occasion shall not constitute a waiver of its right to enforce that provision on any future occasion.
